Access and usage rules for the UNPRICED platform.
These Terms of Use are an agreement between you and UNPRICED (“UNPRICED”, “we”, “us”). They govern your access to and use of the site, the interface and all related features, content and services (the “Platform”).
By accessing or using the Platform, signing in, submitting a transaction, or confirming the “Review and accept” screen shown after sign-in, you confirm that you have read and accepted these Terms and the Privacy Policy. If you do not agree, do not use the Platform.
UNPRICED provides a software interface for discovering talent profiles and markets and for interacting with public blockchain networks, wallets, smart contracts and third-party services.

You must be at least 18 years old (or the age of majority in your jurisdiction if higher) and have the legal capacity to enter into these Terms. Your use of the Platform must be lawful where you live; you represent that you comply with all applicable laws, including securities, anti-money-laundering and sanctions regulations. We may limit or stage access to the Platform (for example through invitations or waitlists).
The Platform is not available to persons who reside in, are located in, are incorporated in or have a registered office in any of the following jurisdictions (“Restricted Jurisdictions”):
By using the Platform, you represent that you are not located in a Restricted Jurisdiction and that you are not identified on any applicable sanctions or restricted-party list. We may restrict or discontinue access where reasonably necessary for legal, security, operational or risk reasons, and may update the list of Restricted Jurisdictions at any time.
UNPRICED is a noncustodial interface. We do not hold your assets or private keys, control your wallet, execute transactions on your behalf, guarantee settlement or have the ability to reverse a blockchain transaction. To use the Platform, you either connect a wallet you already own, or a self-custodial wallet is created for you by Privy, our wallet infrastructure provider, when you first sign in. A signature authenticates your session. UNPRICED cannot move your assets or transact on your behalf, and every transaction is authorized from your wallet. Where a wallet is created for you, access to it and its recovery are governed by Privy’s own terms.
UNPRICED is not a bank, broker, exchange, custodian, investment adviser, money transmitter or financial institution. Nothing on the Platform is financial, investment, legal, accounting or tax advice.
Every transaction takes place on a public blockchain. Displayed prices, fees, balances and outcomes are estimates and may be delayed, incomplete or different from final execution. Transactions may be irreversible, fail, remain pending or execute at an unexpected price. UNPRICED does not guarantee that a submitted transaction will be included, confirmed or completed within a particular time.
The price shown on a profile is the price of the next claim on the curve, not a promise of collective withdrawal: before every transaction, the interface also shows “you really receive” for your exact size. Always check that value before confirming.
Conviction Claims are not tradable tokens: they cannot be transferred to another account or sold anywhere other than on the relevant profile’s curve. Prices can move sharply and liquidity is not guaranteed: you may lose some or all of the funds you use.
The full risks are described in the risk disclosure. By using the Platform, you acknowledge that you have read and understood it.
The profiles shown (players, talents) are built from public, sourced information. They imply no affiliation, partnership or agreement from the people concerned. Anyone listed can request a correction or removal by writing to contact@unpriced.xyz.
You are responsible for the content you submit (handle, display name, photo, talent proposals). You warrant that you hold the necessary rights and you grant us a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and moderate that content as reasonably necessary to operate, secure and promote the Platform. We may hide, restrict or remove content that violates these Terms, creates legal or security risk, or interferes with the service.
Featuring or ranking a profile or market on the interface uses neutral, criteria-based methods (such as activity or recency) and is not an endorsement, a recommendation or a statement about value or legitimacy.
Transactions may incur network fees, protocol fees, price impact or third-party charges. Displayed estimates may differ from the final amount.
You are solely responsible for identifying, reporting and paying taxes, duties and other governmental charges arising from your use of the Platform.
UNPRICED and its contributors may hold, trade or otherwise have an interest in positions available through the Platform and may act in more than one capacity. Nothing in these Terms or in our relationship with you creates a fiduciary, advisory or similar duty on our part.
The Platform connects to independent services: wallet infrastructure (Privy), blockchain networks, smart contracts, RPC providers, indexers, block explorers, hosting, data sources, audience measurement and error reporting. Their availability, accuracy, security, conduct and terms are outside our control; a link or integration is not an endorsement. Your use of a third-party service is governed by its own terms and policies.
The UNPRICED interface, brand, design, documentation and original content are protected by applicable intellectual-property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to access and use the interface for lawful purposes. Except where separate open-source terms apply, you may not copy, modify, sell, sublicense or create derivative works from these materials without permission.
If you believe content accessible through the Platform infringes your copyright, send a notice with the necessary details to contact@unpriced.xyz; we will respond in accordance with applicable law.
If you send us suggestions or feedback, you grant us an irrevocable, perpetual, worldwide, royalty-free licence to use, modify and incorporate them without restriction or compensation. Do not submit confidential information as feedback.
We may add, modify, suspend, restrict or discontinue any feature or the interface at any time. We do not guarantee continuous availability, compatibility with a wallet or network, preservation of offchain data or advance notice of changes. Markets can be paused for precaution or in case of an incident.
To the fullest extent permitted by law, the Platform is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security and uninterrupted operation.
To the fullest extent permitted by law, UNPRICED and its affiliates, officers, employees, agents and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost data, loss of assets, failed or delayed transactions, smart-contract defects, wallet compromise, network events, price movement, market manipulation or third-party conduct.
To the fullest extent permitted by law, our total aggregate liability for claims arising from or relating to the Platform will not exceed the greater of the fees you paid directly to UNPRICED during the twelve months before the event giving rise to the claim or one hundred United States dollars. Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, liability is limited only to the extent permitted by law.
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless UNPRICED and its affiliates, officers, employees, agents and service providers from claims, losses, liabilities, damages, costs and reasonable legal fees arising from your use of the Platform, your submitted content, your violation of these Terms or your violation of law or another person’s rights.
You release UNPRICED from any claim arising out of a dispute you have with another user or a third party in connection with the Platform.
We may terminate, suspend or restrict your access to the Platform at any time, with or without notice, including where we reasonably suspect fraud, market manipulation, sanctions or legal risk, a violation of these Terms, coordinated or automated abuse, or any other conduct presenting elevated risk to UNPRICED, other users or the integrity of the interface. The sections that by their nature should survive (eligibility, risk, fees, acceptable use, intellectual property, warranties, limitation of liability, indemnification, dispute resolution, general terms) survive any termination.
Before starting a formal claim, contact us at contact@unpriced.xyz and describe the dispute: you and UNPRICED will attempt in good faith to resolve the matter informally. These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Any dispute not resolved informally within 60 days will be resolved exclusively through final and binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its applicable rules, seated in Wilmington, Delaware, or, at either party’s election, conducted by video conference. You and UNPRICED agree that any claim must be brought individually and not as a plaintiff or class member in any purported class, collective or representative proceeding.
If this arbitration agreement is found not to apply to you or your claim, any judicial proceeding (other than small-claims actions) will be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction and venue there. You may opt out of this arbitration agreement by writing to contact@unpriced.xyz within 30 days of first accepting these Terms, stating clearly that you wish to opt out of arbitration. Nothing in this section limits rights that cannot be waived under applicable law.
If a provision of these Terms is found unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent; we may assign these Terms without restriction. These Terms and the Privacy Policy constitute the entire agreement between you and UNPRICED concerning the interface, except where additional terms are presented for a specific feature.
We may update these Terms as the interface, the risks or legal requirements change. The date at the bottom of the page identifies the current version; a material change may be announced in the interface and may require a new acceptance. Continued use of the Platform after revised Terms become effective means that you accept them for later activity.
